Course Materials:

Achieving an acceptable Say-on-Pay vote has become increasingly challenging as more companies are being compelled to develop non-traditional compensation packages in connection with the hiring, retention and termination of executive officers, while proxy advisors and institutional investors continue to demand greater transparency, rigorous goals and strong alignment with company performance.
