After years of anticipation, the SEC has adopted rules to implement Section 954 of the Dodd-Frank Act, which will require listed companies to maintain policies to recover executive compensation in connection with restatements - regardless of fault. Many companies will need to broaden their clawback policies as a result of these rules. Yet, interpretive issues and intersecting state laws make that easier said than done.
